(1) When voting for the appointment of directors, each shareholder shall have the right to vote in terms of votes equal to the number of directors to be appointed by multiplying the number of directors to be appointed by the number of shares held by him, and the shareholders who vote in such a manner shall cast all their votes for one candidate or more than one candidate as determined by him. (2) Notwithstanding anything written in sub-section (1), if the Government of Nepal and organized organizations nominate the directors in accordance with section 25, they shall not be entitled to vote in the voting held in accordance with this section.
